How to participate

Read the Tender Offer Document and the Instructions on the Form of Acceptance carefully.

If any Shareholder does not wish to accept the Tender Offer, then such Shareholder need not take any further action.

Shareholders who wish to accept the Tender Offer and whose shares are held in central depository system (“CDS”) accounts may tender their shares by using any of the following application channels (the “Application Channels”):
- Completing and submitting an electronic application by clicking the link sent to you by email or SMS by C&R Group (the “DPA”), and uploading the required supporting documentation; or
- Accessing a physical Tender Form via the following means:
- i. Downloading and printing the Tender Form from the DPA’s application portal Offer Documents Page ; or
- ii. Contacting the Sponsoring Broker (Absa Securities), or any of the authorised acceptance agents listed in paragraph 9 (Authorised Accepting Agents) of this Tender Offer Document, or the DPA, all of whom will be able to provide a physical copy of the Tender Form.
- The completed Tender Form must be submitted together with the required supporting documents to the Sponsoring Broker or any of the Agents.

Shareholders who wish to accept the Tender Offer and currently hold shares in certificated format must open a CDS account and take the necessary actions to immobilise their shares into a CDS account. Thereafter, Shareholders may tender their shares using any of the Application Channels listed above.

All tenders will only be valid if the procedures contained in the Tender Offer Document, the Tender Form and in the relevant parts of the application portal are followed in full.

On the Form of Acceptance ( Portal or Physical FOA), you must indicate the number of shares from your shareholding that you wish to tender (submit) for the Offer. You may tender any amount of shares, Shares once tendered cannot be withdrawn from the Offer. You may submit an updated application however any tendered shares previously submitted will be the minimum tender shares for any updated application.

If the shares that you hold in Absa Bank Kenya PLC are frozen or pledged to a financier and you wish to take up the offer, you are required to unfreeze the shares via CDS 6 Form, which can be obtained from your CDA.

Only individual shareholders can submit the FOA online. All other shareholders must complete, download, print and sign the FOA as required and either upload to the Portal or submit the physical signed FOA to an Authorised Acceptance Agent.

If the Form of Acceptance is signed under a power of attorney, the executed power of attorney (or a certified copy) must be lodged together with the Form of Acceptance.

If you are a company or a corporation or a society or any other organisation, the Form of Acceptance should be executed by either (i) a director in the presence of a witness or (ii) two (2) authorised signatories, in accordance with such company’s or other body corporate’s articles of association or other regulations.

If the sole registered Absa Bank Kenya PLC shareholder is deceased, the administrator or personal representative(s) should sign the Form of Acceptance and forward it to an Authorised Acceptance Agent together with a certified true copy of the death certificate (or a notarised copy), the relevant certified true copies of probate or letters of administration and evidence of the authority to sign of the personal representative(s).

The required supporting documentation will include identification documents (a copy of ID or passport for individual Shareholders, or the certificate of incorporation or registration and CR12 (or equivalent for foreign entities) for companies, groups, societies, in each case certified by an agent or a lawyer), and documentation required to validate the accepting Shareholder’s preferred payment method indicated in the application.
